Agreement to Terms

Welcome to DineHub ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our restaurant reservation management platform and services (the "Service") operated by DineHub.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

Legal Binding Agreement

These Terms constitute a legally binding agreement between you and DineHub. Please read them carefully.

Description of Service

DineHub provides a cloud-based restaurant reservation management platform that enables:

  • For Restaurants: Managing reservations, customer communications, analytics, and operational settings
  • For Customers: Making reservations at participating restaurants through our platform
  • For Both: Automated email notifications, confirmation systems, and customer support

Service Plans

30-day trial or 30 reservations (whichever comes first)

🚀 Starter

€9/month or €90/year - Up to 300 reservations per month

⭐ Pro

€19/month or €190/year - Unlimited reservations with advanced features

🏢 Enterprise

€49-€79/month - Multi-restaurant management with dedicated support

User Accounts and Registration

Account Creation

To use certain features of our Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

Account Verification

We may require email and phone verification for security purposes. Failure to verify your account may result in limited functionality or account suspension.

Acceptable Use Policy

Permitted Uses

You may use our Service only for lawful purposes and in accordance with these Terms. You agree to use the Service:

  • In compliance with all applicable laws and regulations
  • For legitimate restaurant reservation management
  • In a manner that does not infringe upon others' rights
  • Without attempting to gain unauthorized access

Prohibited Uses

You agree NOT to use the Service:

  • For any unlawful purpose or to solicit unlawful acts
  • To violate any international, federal, provincial, or state regulations or laws
  • To transmit or procure the sending of any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate the Company, employees, another user, or any other person or entity
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service
  • To use automated systems (bots, scripts) to make fake reservations
  • To spam restaurants or customers with unwanted communications
  • To collect or harvest any personally identifiable information from the Service

Restaurant Owner Responsibilities

Restaurant Information

As a restaurant owner, you agree to:

  • Provide accurate restaurant information (name, address, contact details)
  • Maintain current operating hours and availability
  • Honor confirmed reservations made through our platform
  • Respond to reservation requests in a timely manner
  • Treat customers with respect and professionalism

Reservation Management

  • You are responsible for managing your restaurant's capacity and availability
  • You must promptly update any changes to operating hours or closures
  • You agree to honor the reservation policies you set in your account
  • You are responsible for any no-show or cancellation policies you implement

Customer Data

  • You may only use customer data for reservation-related purposes
  • You must protect customer information and not share it with third parties
  • You agree to comply with applicable data protection laws

Customer Responsibilities

Reservation Accuracy

When making reservations, you agree to:

  • Provide accurate contact information
  • Specify the correct party size and any special requirements
  • Arrive on time for your reservation
  • Cancel reservations you cannot honor with reasonable notice

Restaurant Policies

  • You agree to comply with individual restaurant policies
  • You understand that restaurants may have their own cancellation and no-show policies
  • You acknowledge that reservation confirmation does not guarantee specific seating arrangements

Payment Terms

Subscription Fees

  • Free Trial: 30 days or 30 reservations, whichever comes first
  • Monthly Plans: Billed monthly in advance
  • Annual Plans: Billed annually in advance with discount
  • Enterprise Plans: Custom billing arrangements

Payment Processing

  • Payments are processed through secure third-party payment processors
  • You authorize us to charge your payment method for applicable fees
  • All fees are non-refundable except as required by law
  • We reserve the right to change our pricing with 30 days' notice

Late Payment and Suspension

  • Accounts with overdue payments may be suspended
  • We may charge late fees for overdue accounts
  • Service will be restored upon payment of all outstanding amounts

Intellectual Property Rights

Our Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of DineHub and its licensors. The Service is protected by copyright, trademark, and other laws.

Your Content

You retain ownership of any content you submit to our Service. However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with the Service.

Trademark Policy

You may not use our trademarks, logos, or brand names without our prior written consent.

Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Service. By using our Service, you agree to the collection and use of information in accordance with our Privacy Policy.

  • Continued use after changes constitutes acceptance

Termination

Termination by You

  • You may terminate your account at any time
  • Termination does not entitle you to a refund of prepaid fees
  • You remain responsible for all charges incurred before termination

Termination by Us

We may terminate or suspend your account immediately, without prior notice, for:

  • Breach of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Violation of our Acceptable Use Policy
  • Any reason with 30 days' notice

Effect of Termination

  • Your right to use the Service will cease immediately
  • We may delete your account and data
  • Provisions that should survive termination will remain in effect

Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Accuracy, reliability, or completeness of content
  • Uninterrupted or error-free operation

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DINEHUB SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages arising from third-party actions
  • Any amount exceeding the fees paid by you in the 12 months preceding the claim

Restaurant and Customer Interactions

  • We are not responsible for disputes between restaurants and customers
  • We do not guarantee restaurant service quality or availability
  • Restaurants are independent businesses responsible for their own operations

Indemnification

You agree to defend, indemnify, and hold harmless DineHub and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit to the Service

Dispute Resolution

Informal Resolution

Before filing any formal dispute, you agree to first contact us at info@dinehub.org to seek an informal resolution.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where DineHub is established, without regard to conflict of law principles.

Jurisdiction

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of competent jurisdiction, and the parties consent to personal jurisdiction and venue therein.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and DineHub regarding the Service.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

  • Posting the updated Terms on our website
  • Sending email notifications to registered users
  • Displaying prominent notices in our platform

Your continued use of the Service after any changes constitutes acceptance of the new Terms.
